United States
Fifth Meridian Energy, Inc. is a Texas corporation that owns and develops working interests in United States oil and natural gas properties. There are two ways a United States resident may be able to participate.
Shares of common stock are offered to verified accredited investors. Accredited status is verified by a third party before any subscription is accepted; a self-certification is not sufficient. The minimum subscription is $50,000. Shares are restricted securities: they may not be resold except under an effective registration statement or an available exemption, and you may have to hold them indefinitely.
Accredited investors generally include individuals with a net worth over $1,000,000 excluding the primary residence, or income over $200,000 (or $300,000 with a spouse or partner) in each of the two most recent years with the same expectation this year, holders of certain professional licences, and entities with over $5,000,000 in assets.
These securities have not been registered under the Securities Act of 1933 or the securities laws of any state and are offered only to verified accredited investors in reliance on Rule 506(c) of Regulation D. Neither the Securities and Exchange Commission nor any state securities commission has approved or disapproved of the securities or passed upon the adequacy of any offering document; any representation to the contrary is a criminal offense. Any communication about the offering is a summary only and is qualified in its entirety by the private placement memorandum.
Open an account as an accredited investor
Opening an account starts identity and accreditation verification. Subscription funds are held by an independent escrow agent until the company accepts the subscription at a monthly closing.
The company is considering an offering of its common stock under Regulation A that would allow investors to participate from $1,000. That offering cannot begin until an offering statement is filed with and qualified by the SEC. You may tell us you are interested; doing so commits you to nothing and no money can be accepted.
Fifth Meridian Energy, Inc. is "testing the waters" under Regulation A. No money or other consideration is being solicited, and if sent in response, will not be accepted. No offer to buy the securities can be accepted and no part of the purchase price can be received until the offering statement filed with the SEC is qualified, and any such offer may be withdrawn or revoked, without obligation or commitment of any kind, at any time before notice of its acceptance given after the qualification date. An indication of interest involves no obligation or commitment of any kind. No offering statement has yet been filed with the SEC.
Other offerings of the same class of common stock exist and are made only by their own offering documents to the persons eligible for them.
